●  Agreement: The contract between Beyond Marketing and the Client for the provision of Services.

3. Services

Beyond Marketing agrees to provide the services as described in the proposal or service agreement. The scope of services, deliverables, and timelines will be outlined in the specific agreement between Beyond Marketing and the Client. The Client must supply to Beyond Marketing all required materials the Client wants to be utilized in the service, and all other content and materials Beyond Marketing reasonably requests (Client Content) in a timely manner.

4. Payment Terms

●  Fees: The Client agrees to pay the fees for the Services as specified in the agreement.

●  Payment Schedule: Payments shall be made according to the schedule outlined in the agreement.

●  Late Payments: Late payments may incur a penalty of a certain percentage per month on the outstanding balance, as determined by Beyond Marketing and agreed upon by both the Client and Beyond Marketing at the time of service agreement.

5. Client Obligations

●  Cooperation: The Client agrees to provide Beyond Marketing with all necessary information and cooperation to enable the delivery of the Services.

●  Approvals: The Client is responsible for approving all materials, campaigns, and strategies proposed by Beyond Marketing.

6. Intellectual Property

●  Ownership: Beyond Marketing retains ownership of all intellectual property created in the course of delivering the Services unless otherwise agreed in writing.

●  License: The Client is granted a non-exclusive, non-transferable license to use the deliverables for the purposes agreed upon in the contract.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information received from the other party. Personal information such as names, emails, contact numbers, and website URLs provided through contact forms will be kept confidential and only shared with Beyond Marketing employees as necessary.

8. Variations and Additional Costs

Any changes in the specifications of the service during the course of engagement will be treated as a variation. Beyond Marketing reserves the right to halt work and review service costings in such cases. Variations will be discussed with the user, and a Variation Notice, including modifications and associated costs, will be issued. Work will not proceed until written approval is received from the user.

9. Duration of Agreement

This agreement takes effect immediately upon execution by both parties and remains in effect until the service purpose is achieved. The term will automatically renew for subsequent periods of the same duration unless terminated by either party with a 30-day written notice before the expiration of the term, or both parties agree in writing to vary the services provided.

●  By Client: The Client may terminate the agreement within 30 days written notice.

●  By Beyond Marketing: Beyond Marketing may terminate the agreement immediately if the Client breaches any of its obligations.

●  Effect of Termination: Upon termination, the Client will pay for all Services rendered up to the

To the fullest extent permissible by law, Beyond Marketing is not liable for:

●  Faults or defects in services or goods provided by third parties.

●  Any indirect, special, or consequential loss, including loss of data, profits, revenue, goodwill, anticipated savings, and business interruption, regardless of foreseeability.

11. Indemnity

The Client or Users indemnify and hold harmless Beyond Marketing against all actions, claims, proceedings, demands, liabilities, losses, damages, expenses, and costs arising from:

●  User’s negligent acts or omissions.

●  User’s use of the services, including third-party claims arising from such use.

●  Breach of third-party intellectual property rights.

Users agree to keep Beyond Marketing and its employees indemnified against all losses arising from actions taken in performing services.

These terms and conditions are governed by and construed in accordance with the laws of the United Arab Emirates, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
